GURUGRAM: DLF announced on Friday, November 6, 2026, that it intends to invest about Rs 3,750 crore in a proposed joint venture with Everstone Group to acquire interests in IREO's Indian companies. The corporate transaction covers development opportunities in Gurugram, Delhi and other regions. DLF issued the filing from Gateway Tower in DLF City Phase III, with completion expected during 2027, subject to conditions.
Two binding and exclusive term sheets form the basis of the proposal. One sets out the collaboration between DLF and Singapore headquartered Everstone. The other, signed on the same date with the IREO funds, concerns the proposed venture's investment in the Indian companies. The announcement gives a proposed ownership structure, while final documents and approvals remain ahead.
How the proposed investment is structured
DLF's approximately Rs 3,750 crore contribution would give it a majority stake in the joint venture. That venture would hold economic interests in IREO Private Limited and other Indian group companies held by the IREO group of foreign direct investment funds. The company's November 6 filing and press release set out the arrangement.
The venture plans to use the funds to acquire a stake of at least 20% in those Indian companies, together with certain governance rights. DLF says the venture's aggregate economic interest, including contractual and other interests, would be approximately 40%. The IREO funds would retain the balance of the economic interest.
These percentages refer to different parts of the transaction. DLF's majority position would be in the joint venture. The minimum 20% stake concerns the venture's proposed holding in the IREO India companies. The approximately 40% figure describes its wider economic interest. The release does not equate all three measures or describe DLF as acquiring the entire IREO business.
- DLF's proposed investment: approximately Rs 3,750 crore.
- Proposed stake for the venture in IREO India companies: at least 20%.
- Aggregate economic interest for the venture: approximately 40%.
- Expected closing: during 2027, after the stated conditions are met.
What remains before completion
Completion depends on satisfactory due diligence, the execution of definitive agreements and the receipt of applicable corporate, regulatory and third party approvals. DLF gives 2027 as the expected closing period. It provides neither a specific closing day nor a timetable for each approval, so the transaction remains a proposal governed by those conditions.
The covering letter, signed by company secretary R.P. Punjani, says the detailed disclosure required under the listing regulations will be made to the stock exchanges when definitive documents are executed. Its digital signature records 8.24 am IST on November 6. That establishes the timing of the document, rather than a construction milestone at any Gurugram project.
After completion, an independent management team would operate the IREO India companies under an agreed business plan and governance framework, with guidance from DLF and Everstone. The release presents the partnership as a way to combine DLF's development experience with Everstone's investment management capabilities.
DLF managing director Ashok Kumar Tyagi said the partnership would bring together the companies' industry experience and investment capabilities. Everstone cofounder and chief executive Sameer Sain described working with DLF as an opportunity to create value for investors in the IREO funds. Both comments concern the planned alliance and its intended results.
The Gurugram angle and the companies involved
Gurugram is expressly included among the development markets in the release. DLF also lists its registered office at the DLF Shopping Mall on Arjun Marg in DLF City Phase I. Its official investor page identifies Gateway Tower in Phase III as the corporate office, placing the announcement within the city's established corporate and property business.
The release gives DLF's scale as more than 185 developed projects and approximately 352 million square feet developed. It reports about 275 million square feet of development potential across residential and commercial business, including projects in its identified execution pipeline, and an annuity portfolio of approximately 50 million square feet. These are company supplied group figures, rather than Gurugram only totals or a valuation of the proposed IREO transaction.
Everstone describes assets under management exceeding Rs 1 lakh crore and businesses spanning real estate, private equity, infrastructure, credit and venture capital. Those details explain the investment partner's background. The filing does not announce a Gurugram recruitment drive, office opening or a revised possession schedule for a named housing project.
For local business context, earlier city reports cover the Sector 28 office development proposal, a 600 seat workspace in Sector 48 and industrial capacity added at Pathredi. These are separate projects from the proposed DLF and Everstone investment.
